Terms and Conditions of Legal Consultants AZ BV

Versie 2.0 · 22 September 2026

These terms and conditions govern the legal services provided by Legal Consultants AZ B.V. to private individuals and business clients. The specific work, price and deadlines for each engagement are recorded in an engagement letter.

Article 1 Definitions

1.1LCaz: Legal Consultants AZ B.V., the service provider.
1.2Client: the natural person or legal entity that enters into an agreement with LCaz.
1.3Consumer: a natural person acting for purposes outside their trade, business or profession.
1.4Business client: a client acting in the exercise of a profession or business, including a legal entity.
1.5Engagement: the agreement of engagement between LCaz and Client, including the written engagement letter and these terms and conditions.
1.6In writing: by letter, email, client portal or another electronic means that allows agreements to be recorded durably.

Article 2 Identity of LCaz

2.1Legal Consultants AZ B.V. is established at Zeemansstraat 58, 1506 CV Zaandam, and registered with the Dutch Chamber of Commerce (KvK) under number 98944886.
2.2Correspondence address: Postbus 2015, 5600 CA Eindhoven.
2.3Email: secretariaat@legalconsultantsaz.nl. Website: https://legalconsultantsaz.nl.
2.4LCaz is a legal advice and consultancy firm and not a law firm. LCaz does not perform work that by law may only be carried out by a lawyer (advocaat), notary or other authorised professional.

Article 3 Applicability and order of precedence

3.1These terms apply to every offer, engagement, follow-up engagement and additional engagement of LCaz.
3.2The engagement consists of the engagement letter, any separate agreement, these terms and conditions, and the privacy statement. In the event of conflict, this order of precedence applies: first the engagement letter or separate agreement, then these terms and conditions.
3.3Deviations apply only when the Parties have agreed to them in writing.
3.4General terms and conditions of a business client are expressly rejected, unless LCaz accepts them in writing.
3.5A third party who receives or uses advice, a document or a draft does not thereby become a client and cannot derive any rights against LCaz from it.

Article 4 Offer and formation of the engagement

4.1An offer from LCaz is without obligation and valid for the period stated in it. Without a stated period, the offer lapses after fourteen days.
4.2The engagement is formed once Client has accepted the engagement letter in writing, or once LCaz has demonstrably started performance at Client's request.
4.3Before acceptance, LCaz may assess Client's identity, the nature of the engagement, possible conflicts of interest, statutory obligations and feasibility.
4.4LCaz may decline an engagement without being obliged to disclose confidential grounds for its assessment.

Article 5 Nature and scope of the services

5.1LCaz may, among other things, advise and assist with administrative-law matters, government decisions, objection and defence proceedings, contracts, legal documents, disputes, business matters, and construction- and project-related legal matters.
5.2Only the work stated in the engagement letter forms part of the engagement. Representation in proceedings, filing of documents, deadline monitoring, contact with an opposing party or authority, and follow-up proceedings are included only when expressly agreed.
5.3LCaz performs the engagement with due care and to the best of its professional judgment. The engagement is a best-efforts obligation. LCaz does not guarantee any particular outcome, decision, saving or result of proceedings.
5.4Advice and documents are based on the law, the facts and the information known at the time of performance. LCaz is not required, on its own initiative, to adapt a completed engagement to later changes in the law or new facts.
5.5When mandatory representation in proceedings or specialist support is needed, LCaz informs Client. Engaging such support requires a separate agreement.

Article 6 Client obligations and deadlines

6.1Client provides all complete, accurate and relevant information and documents in good time and reports new facts immediately, even when these may be unfavourable to Client's own position.
6.2LCaz may rely on the accuracy and completeness of information provided by or on behalf of Client, unless the inaccuracy should reasonably have been apparent to LCaz.
6.3Client checks drafts before approval or use for facts, names, amounts, dates and other client-specific details.
6.4Client remains responsible for statutory deadlines and objection, appeal, limitation, forfeiture and payment deadlines, unless LCaz has confirmed in writing that it will monitor a specifically named deadline and LCaz has all necessary documents in good time.
6.5When Client cooperates insufficiently or too late, LCaz may suspend the work, adjust the planning or terminate the engagement. Additional work resulting from this may be charged as extra work.

Article 7 Fees, costs and extra work

7.1The price is set per engagement as a fixed price, hourly rate, phased price or another method agreed in writing.
7.2Prices for consumers are stated including VAT. Prices for business clients are exclusive of VAT and other levies, unless stated otherwise.
7.3A fixed price covers only the work stated in the engagement letter. Work resulting from new facts, changed instructions, additional documents, an expanded dispute or follow-up proceedings is extra work.
7.4LCaz carries out foreseeable extra work only after Client has been informed of its nature and price and has agreed to it. This does not apply when immediate action is reasonably necessary to prevent serious and foreseeable damage or loss of a deadline and prior consultation is not possible.
7.5Pre-approved costs of third parties, court registry fees, bailiffs, extracts, translations, experts, and travel or accommodation costs are charged separately, unless included in writing.
7.6LCaz may require a reasonable advance payment and need not start or continue work before it has been received. Advance payments are offset against later invoices.

Article 8 Invoicing and payment

8.1Invoices are sent in accordance with the engagement letter and must be paid within fourteen days of the invoice date.
8.2Client reports an objection to an invoice as soon as possible, in writing and with reasons. The undisputed part remains payable. This provision does not limit any mandatory statutory rights of consumers.
8.3Before extrajudicial collection costs become due, a consumer receives a free reminder with the statutory payment term of fourteen days. After that, statutory interest and statutorily permitted collection costs are due.
8.4After the payment term has expired, a business client owes statutory commercial interest and reasonable extrajudicial collection costs without further notice of default, to the extent legally awardable.
8.5LCaz may suspend work after written warning for as long as a due amount or advance payment has not been paid. LCaz takes foreseeable disproportionate consequences into account, but does not take over deadline monitoring without a separate written agreement.
8.6A business client may not set off or suspend payment, unless LCaz acknowledges the counterclaim in writing or it has been irrevocably established. The statutory rules apply for consumers.

Article 9 Engaging third parties

9.1LCaz may engage employees and auxiliary persons to perform the engagement.
9.2For engaging an external lawyer, notary, expert or other independent service provider that causes additional costs, LCaz asks for prior consent, unless immediate engagement is necessary to prevent serious damage and consultation is not reasonably possible.
9.3When Client contracts directly with an external service provider, that provider is independently responsible for its own work. LCaz is then only responsible for its own work and, where applicable, for careful selection or instruction.
9.4LCaz may accept reasonable terms and liability limitations of engaged third parties on Client's behalf when this is customary and necessary for the engagement.

Article 10 Digital communication and client portal

10.1LCaz may communicate by email and through the client portal. Client keeps contact details up to date, checks messages regularly and reports security incidents immediately.
10.2An account is personal. Client keeps login details and authentication means confidential and does not allow unauthorised persons to use the account.
10.3LCaz may temporarily block access on a reasonable suspicion of misuse, unauthorised access, a security risk, scraping, technical disruption or a breach of these terms.
10.4LCaz takes appropriate security measures but does not guarantee uninterrupted or fully error-free availability. Planned maintenance and necessary security measures may temporarily limit access.
10.5Client makes their own timely copy of definitively provided documents that they need on a lasting basis. The client portal is not an unlimited archiving service.

Article 11 Confidentiality and personal data

11.1LCaz treats non-public client and case information as confidential and uses it for the engagement, administration, quality assurance, security and statutory obligations.
11.2LCaz is not a lawyer (advocaat). LCaz's confidentiality therefore does not automatically carry the statutory privilege or professional secrecy of a lawyer.
11.3LCaz processes personal data in accordance with the applicable privacy statement. Client provides only personal data that is necessary and that may lawfully be provided to LCaz.
11.4LCaz may share necessary information with employees, auxiliary persons and external service providers approved by Client who observe appropriate confidentiality.
11.5Disclosure required by law is permitted. LCaz informs Client in advance where this is legally permitted and reasonably possible.

Article 12 Intellectual property and use

12.1All rights to models, methods, analysis frameworks, formats, generic texts, software, working methods and know-how of LCaz remain with LCaz or the relevant rights holder.
12.2After full payment, Client receives a non-exclusive right of use to the final product created specifically for the engagement, solely for the purpose for which it was provided.
12.3Client may not publish, commercially exploit, offer as its own template, or provide to third parties for reuse any work of LCaz without written consent, except where necessary for Client's own case.
12.4Drafts may not be used as final advice unless LCaz has confirmed this in writing.

Article 13 Suspension and termination

13.1Client may terminate the engagement in writing. A consumer may terminate an agreement of engagement at any time in accordance with the law.
13.2On termination, Client pays for the work performed up to that point, agreed non-cancellable external costs and, to the extent legally permitted, a reasonable part of a fixed price commensurate with the work performed and the benefit of it.
13.3LCaz may terminate the engagement for compelling reasons, including a breach of trust, deception, unlawful instructions, a conflict of interest, threats, structural non-cooperation, payment arrears or an unacceptable professional or integrity risk.
13.4LCaz announces termination where possible, allows a reasonable period for necessary follow-up steps and cooperates within reasonable limits with a handover. Client remains responsible for timely engagement of a successor service provider.

Article 14 Consumer right of withdrawal

14.1This article applies when a consumer concludes the engagement at a distance or off-premises and no statutory exception applies.
14.2The consumer may withdraw from the agreement within fourteen days without giving any reason. The period starts on the day after the agreement is concluded.
14.3The consumer may withdraw using the model form attached to these terms or with another unambiguous statement to secretariaat@legalconsultantsaz.nl or LCaz's correspondence address.
14.4LCaz starts performance during the withdrawal period only at the consumer's express request. If the consumer withdraws after performance has started at that request, a proportionate amount is owed for the part already performed, provided LCaz has provided the legally required information in advance.
14.5The right of withdrawal lapses after full performance only when performance began with the consumer's prior express consent and the consumer has acknowledged that the right of withdrawal lapses after full performance.
14.6After a valid withdrawal, LCaz refunds amounts to which the consumer is entitled no later than within fourteen days, using the same payment method, unless otherwise agreed.

Article 15 Liability

15.1LCaz holds professional indemnity insurance. LCaz's liability per event is limited to the amount paid out by the insurer for the relevant claim, plus the applicable excess.
15.2Where, for a reason not resulting from the absence or lapse of insurance cover on LCaz's part, no insurance payment is made, liability is limited to three times the fee paid for the relevant engagement, with a maximum of EUR 10,000.
15.3LCaz is not liable for damage arising from incorrect, incomplete or late information provided, acting contrary to advice, changes made by Client, use of drafts, or a deadline not entrusted to LCaz in writing.
15.4LCaz is not liable for decisions or delays of government bodies, courts, opposing parties or service providers independently contracted by Client, unless the damage also directly results from an attributable failure by LCaz.
15.5For business clients, liability for indirect damage, consequential damage, loss of profit, missed savings, reputational damage and business interruption is excluded, to the extent legally permitted.
15.6The limitations do not apply in the event of intent or deliberate recklessness by LCaz's management, nor to the extent mandatory law prohibits a limitation. Consumer rights are not limited further than legally permitted.
15.7Client reports a possible claim as soon as possible, in writing and with sufficient detail, and gives LCaz a reasonable opportunity to investigate, limit or remedy the cause and consequences. Statutory limitation and forfeiture periods continue to apply.

Article 16 Indemnification by business clients

16.1A business client indemnifies LCaz against third-party claims that directly result from data or materials provided unlawfully, incorrectly or without required consent by the client, or from use of the work outside the agreed purpose.
16.2The indemnity does not apply to the extent the claim was caused by an attributable failure of LCaz. This article does not apply to consumers.

Article 17 Force majeure

17.1LCaz is not obliged to perform for as long as performance is reasonably prevented by a cause beyond its control, including prolonged failure of essential infrastructure, government measures, fire, serious illness, cyber incidents at carefully selected service providers, or other circumstances not reasonably manageable.
17.2LCaz informs Client as soon as possible and reasonably limits the consequences. If the prevention lasts longer than thirty days or performance becomes permanently impossible, either Party may terminate the part not yet performed. Work already performed and necessary costs already incurred remain payable.

Article 18 Complaints

18.1Client submits a complaint as soon as possible, in writing, to secretariaat@legalconsultantsaz.nl, stating name, case number, description and desired resolution.
18.2LCaz confirms the complaint and, in principle, responds substantively within fourteen days. When more time is needed, Client is notified of this with a new deadline.
18.3A complaint does not suspend statutory or procedural deadlines or payment of an undisputed part of an invoice.

The full complaints procedure is set out on the Complaints procedure page.

Article 19 Amendment and severability

19.1LCaz may amend these terms. For an existing engagement, a substantive amendment applies only after Client has been informed of it and the amendment is reasonable. A materially adverse amendment is not applied retroactively.
19.2When a provision is void, voidable or unenforceable, the remaining provisions continue to apply. The Parties replace the relevant provision with a valid arrangement that most closely approximates its purpose and intent.

Article 20 Applicable law and disputes

20.1Dutch law applies to every engagement and legal relationship with LCaz.
20.2The Parties first attempt to resolve a dispute through consultation, without this preventing the timely taking of necessary legal measures.
20.3Disputes with a business client are submitted exclusively to the competent court of the Noord-Holland district court, unless mandatory law provides otherwise.
20.4A consumer may bring a dispute before the court that has jurisdiction under the law. A deviating choice of forum binds a consumer only to the extent, and from the moment, the law allows this.
